SINGLE MEMBER LIMITED LIABILITY COMPANY OPERATING AGREEMENT OF [LLC_NAME]
This Operating Agreement (the "Agreement") is entered into and effective as of [EFFECTIVE_DATE], by [MEMBER_NAME] (the "Member"), as the sole member of [LLC_NAME], a limited liability company organized under the laws of the Commonwealth of Kentucky (the "Company"), pursuant to KRS Chapter 275.
ARTICLE I — FORMATION 1.1 The Company was formed by filing Articles of Organization with the Kentucky Secretary of State pursuant to the Kentucky Limited Liability Company Act, KRS Chapter 275. 1.2 The Company's principal place of business shall be located at [PRINCIPAL_ADDRESS], or such other location as the Member may from time to time designate. 1.3 The purpose of the Company is to engage in [BUSINESS_PURPOSE] and any other lawful business permitted under Kentucky law.
ARTICLE II — MEMBER AND CAPITAL CONTRIBUTION 2.1 The sole Member of the Company is [MEMBER_NAME], who owns one hundred percent (100%) of the membership interests of the Company. 2.2 The initial capital contribution of the Member to the Company is [CAPITAL_CONTRIBUTION], which has been credited to the Member's capital account. 2.3 The Member shall not be required to make additional capital contributions but may do so at the Member's sole discretion.

ARTICLE IV — DISTRIBUTIONS AND ALLOCATIONS 4.1 All profits, losses, and distributions of the Company shall be allocated solely to the Member. 4.2 Distributions shall be made at such times and in such amounts as the Member shall determine.
ARTICLE V — LIMITATION OF LIABILITY 5.1 The Member shall not be personally liable for any debts, obligations or liabilities of the Company beyond the Member's capital contribution, consistent with the limited liability protections afforded under KRS Chapter 275.
ARTICLE VI — DISSOLUTION 6.1 The Company shall dissolve upon the written election of the Member or upon any event causing dissolution under Kentucky law.
